Terms of Service

1. Agreement
These Terms of Service ("Terms") are a binding agreement between you and Veridus ("we", "us", "our"), the operator of DockDocs. They govern your access to and use of our website and the DockDocs service. By accessing the website or using the service, you agree to these Terms. If you are entering into them on behalf of an organisation, you confirm you have authority to bind that organisation, and "you" means that organisation.
Where a separate signed agreement or order form exists between us and a customer, that agreement takes precedence over these Terms to the extent of any conflict.
2. Definitions
- Service — the DockDocs platform, including the portal and related features we make available.
- Customer — the organisation that subscribes to the Service.
- Authorised users — the people a Customer permits to use the Service under its account.
- Customer data — the data a Customer or its users enter into or generate through the Service.
3. The service
DockDocs helps marine technicians, trades, and fleet operators manage the boats they work on, their owners, and service jobs. We may add, change, or remove features over time to improve the Service. We will not materially reduce the core functionality of a paid subscription during its term without a reasonable equivalent or notice.
4. Accounts & eligibility
The Service is intended for business use by organisations and their staff, not for consumers. There is no self-service sign-up: subscriptions are arranged with our team, who set up your account. You are responsible for:
- providing accurate account information;
- keeping sign-in credentials confidential and securing access to your account;
- all activity carried out under your account and by your authorised users; and
- notifying us promptly of any unauthorised use.
5. Subscriptions & fees
Access to the Service is provided under a subscription. The plan, fees, billing period, and term are agreed between you and us (for example in an order form or quote). Unless stated otherwise:
- fees are stated exclusive of VAT and other applicable taxes;
- fees are payable in advance for each billing period;
- subscriptions may renew for successive periods unless cancelled in line with the agreed terms; and
- late or failed payment may lead to suspension after reasonable notice.
6. Customer data & data protection
As between you and us, you own and remain responsible for your Customer data. You grant us the limited right to host and process it solely to provide and support the Service. You are responsible for ensuring you have a lawful basis to collect and use any personal data you put into the Service, and for the accuracy of that data.
Where we process personal data on your behalf, we do so as a processor in accordance with our Privacy Policy and any applicable data processing terms. Our handling of your own account and contact data is also described in the Privacy Policy.
7. Acceptable use
You agree not to:
- use the Service unlawfully, or to store or transmit unlawful, infringing, or harmful content;
- attempt to gain unauthorised access to, disrupt, or probe the Service or its infrastructure;
- reverse engineer, copy, or resell the Service except as permitted by law;
- introduce malware, or use the Service in a way that impairs it for others.
8. Intellectual property
The Service, including its software, design, and trademarks, is owned by us or our licensors and is protected by intellectual property laws. We grant you a non-exclusive, non-transferable right to use the Service during your subscription, subject to these Terms. We acquire no ownership of your Customer data. If you give us feedback, we may use it to improve the Service without obligation to you.
9. Availability & support
We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. We may carry out maintenance and will try to limit disruption. Support is provided as described in your subscription or agreed with our team.
10. Suspension & termination
Either party may terminate a subscription in line with the agreed terms. We may suspend or terminate access if you materially breach these Terms (including non-payment) and, where the breach can be fixed, fail to do so within a reasonable period after notice. On termination, your right to use the Service ends. We will make your Customer data available for export for a reasonable period, after which we may delete it in line with our retention practices and the customer agreement.
11. Warranties & disclaimers
To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. This does not exclude any warranties or rights that cannot be excluded under applicable law.
12. Limitation of liability
To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, or consequential damages, or for loss of profits, revenue, data, or goodwill, arising from or related to the Service. Our total aggregate liability arising out of or in connection with these Terms will not exceed the fees you paid for the Service in the twelve (12) months before the event giving rise to the liability.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, such as liability for death or personal injury caused by negligence, or for fraud.
13. Indemnity
You agree to indemnify and hold us harmless from claims, losses, and reasonable costs arising from your Customer data or your use of the Service in breach of these Terms or applicable law, except to the extent caused by us.
14. Governing law
These Terms are governed by the laws of Belgium, and the courts of Belgium have exclusive jurisdiction over any dispute, without prejudice to any mandatory consumer protection rights you may have.
15. Changes to these terms
We may update these Terms from time to time. For material changes affecting a paid subscription, we will give reasonable notice. Your continued use of the Service after changes take effect means you accept the updated Terms.
